Building & Roofing

Buying a building or roofing business?

We arrange the finance. You get the keys.

A building or roofing business with a strong forward order book, a skilled and qualified trade team, and a track record of completed projects across residential, commercial, or social housing sectors is a genuinely fundable acquisition. Planned maintenance and refurbishment contracts — where housing associations, local authorities, or commercial property managers commit to ongoing programmes of works — create the recurring, contracted income that specialist lenders can assess with the greatest confidence. A well-run building or roofing business with diversified revenue across both contract and project work is a more fundable proposition than many buyers expect.

What lenders look at

The forward order book and contract pipeline are the foundation. Lenders will examine the value of signed contracts and letters of intent at the point of acquisition, the stage of each project, and the expected completion and payment schedule. A business with a strong forward order book — covering six to twelve months of projected revenue — provides the income visibility that lenders look for in a project-based trade business. Planned maintenance contracts with housing associations, local authorities, or property managers are assessed most favourably because they generate regular, scheduled work across an extended programme. Speculative or tender-dependent work carries more uncertainty and is assessed accordingly.

Working capital management and the retentions position are assessed carefully. Building and roofing businesses are working capital intensive — materials, subcontractors, and labour must be funded ahead of stage payment receipts from clients. Lenders will examine the working capital cycle, the payment terms with clients and suppliers, and the retentions position — the proportion of contract value withheld by clients until practical completion and the defects liability period expires. A business with well-managed working capital, prompt client payment terms, and low outstanding retentions is a more fundable proposition than one with a stretched working capital cycle and significant retentions tied up in completed projects.

Trade qualifications and accreditations are reviewed as part of due diligence. Building and roofing businesses working on regulated activities — structural work, gas, electrical, or roofing on listed buildings — may hold sector-specific accreditations such as CHAS, Constructionline, or SafeContractor that are conditions of public sector and housing association contracts. The maintenance of those accreditations through the ownership change must be confirmed. For roofing specifically, NFRC membership — the National Federation of Roofing Contractors — is a recognised quality mark that many commercial clients and insurance companies specify. Lenders will check compliance with the qualification and accreditation requirements relevant to the contract base.

Subcontractor network and direct labour balance are reviewed alongside the order book. Building businesses typically operate with a mix of directly employed tradespeople and specialist subcontractors — bricklayers, plasterers, roofers, groundworkers, and finishing trades. Lenders will want to understand the subcontractor network, the terms of those relationships, and whether key subcontractor agreements transfer to the incoming owner. A business with a stable, well-documented subcontractor base and clear service agreements is a more confident lending proposition than one dependent on informal relationships with the outgoing owner's personal contacts.

How we help

We are acquisition finance and loans brokers, not lenders. We package your application, present it to the funders with genuine trade services appetite, and manage the process from first conversation through to completion.

We also arrange government-backed facilities for building and roofing business acquisitions — helping buyers access up to £2 million toward their purchase where the criteria are met.

Every building and roofing acquisition is different. Tell us about the business. We will take it from there.

05 — The funding

How much can you borrow?

Every purchase is different. The amount you can borrow will depend on the building & roofing, its trading performance, the purchase price, your circumstances and the transaction structure.

For this type of purchase, lenders will focus particularly on order book, project margins, subcontractors and working capital. We prepare those details clearly and approach funders that understand the sector.

Common questions

Buying a building or roofing business — your questions answered

How much deposit do I need to buy a building or roofing business?+

Most building or roofing business acquisitions are funded with a deposit of around 20% to 30% of the purchase price, though this varies with the strength of the trading figures, whether the deal includes freehold property, and your own experience. Where there is property security or a particularly strong trading history, lenders can sometimes go further.

Can I borrow against goodwill when buying a building or roofing business?+

Yes. Specialist acquisition lenders will lend against goodwill where the trading history supports it, which is essential for leasehold deals with no bricks-and-mortar security. The application has to be presented so the underwriter can see the sustainable, transferable earnings behind that goodwill.

How long does it take to arrange finance to buy a building or roofing business?+

Indicative terms are usually available within 48 hours of your enquiry. A full offer typically follows within two to four weeks, with completion driven mainly by valuation and the pace of the legal work on both sides.

Is iLendi Capital a lender or broker?+

iLendi Capital is an acquisition finance and loans broker, not a direct lender. We work with buyers across the UK to prepare their funding applications, introduce them to the lenders most likely to approve them, and manage the deal through to completion. We also specialise in government-backed facilities, helping you secure up to £2m toward your purchase.
