Road Haulage & Fleet Logistics

Buying a road haulage or fleet logistics business?

We arrange the finance. You get the keys.

An established haulage business gives you vehicles, experienced drivers, dispatch systems, and customer contracts already in place — a substantial asset base combined with a contracted trading business. The funding reflects both: an acquisition loan against the trading business and asset finance against the fleet, arranged as one integrated package. A well-run haulage operation with strong contracted client volume, a maintained fleet, and a clean operator licence history is a well-understood acquisition for specialist transport lenders.

What lenders look at

The Operator Licence is the single most important regulatory factor in any haulage acquisition. A Standard National or Standard International Operator Licence is needed to operate goods vehicles over 3.5 tonnes for hire or reward — the licence is held by the operator, not the business, and does not transfer automatically with the sale. The incoming owner must apply for their own licence and demonstrate to the Traffic Commissioner that they meet the financial standing, professional competence, and repute requirements. Lenders familiar with haulage acquisitions understand this process and factor the timeline into the deal structure — those who are not familiar may treat it as a barrier rather than a manageable step.

Contract quality and client concentration are assessed alongside the fleet. Lenders will examine the mix between contracted haulage clients — businesses committed to regular volume on defined routes or lanes — and spot market work. Contracted volume on rolling agreements provides the income predictability that lenders advance against with confidence. A haulage business generating the majority of its income from long-standing contracted clients with strong payment histories is a significantly more fundable proposition than one dependent on spot freight rates. Client concentration is assessed carefully — a single client representing more than twenty percent of revenue carries a risk that lenders price accordingly.

The fleet is assessed separately as a significant asset finance component. Lenders will examine the age, condition, mileage, and maintenance history of each vehicle — trucks, trailers, and ancillary equipment. A well-maintained fleet with full service histories, current MOTs, and clear title is a strong asset finance proposition. Where vehicles are subject to existing finance agreements, those obligations and their terms form part of the overall deal structure and affect the net asset position the lender is advancing against.

Fuel costs, driver costs, and route profitability are assessed to establish the true net margin available to service the debt. Haulage businesses operate on tighter margins than many other sectors — fuel price volatility, driver wage pressures, and increasing compliance costs all affect profitability. Lenders familiar with the sector understand these dynamics and assess serviceability accordingly. A business with fuel surcharge mechanisms built into its client contracts — passing fuel cost increases through to customers — is a more resilient and more fundable proposition than one absorbing fuel cost volatility entirely within its own margin.

How we help

We are acquisition finance and loans brokers, not lenders. We package your application, present it to the funders with genuine transport sector appetite, and manage the process from first conversation through to completion.

We also arrange government-backed facilities for road haulage and fleet logistics acquisitions — helping buyers access up to £2 million toward their purchase where the criteria are met.

Every haulage acquisition is different. Tell us about the business. We will take it from there.

Common questions

Buying a road haulage or fleet logistics business — your questions answered

How much deposit do I need to buy a road haulage or fleet logistics business?+

Most road haulage or fleet logistics business acquisitions are funded with a deposit of around 20% to 30% of the purchase price, though this varies with the strength of the trading figures, whether the deal includes freehold property, and your own experience. Where there is property security or a particularly strong trading history, lenders can sometimes go further.

Can I borrow against goodwill when buying a road haulage or fleet logistics business?+

Yes. Specialist acquisition lenders will lend against goodwill where the trading history supports it, which is essential for leasehold deals with no bricks-and-mortar security. The application has to be presented so the underwriter can see the sustainable, transferable earnings behind that goodwill.

How long does it take to arrange finance to buy a road haulage or fleet logistics business?+

Indicative terms are usually available within 48 hours of your enquiry. A full offer typically follows within two to four weeks, with completion driven mainly by valuation and the pace of the legal work on both sides.

Is iLendi Capital a lender or broker?+

iLendi Capital is an acquisition finance and loans broker, not a direct lender. We work with buyers across the UK to prepare their funding applications, introduce them to the lenders most likely to approve them, and manage the deal through to completion. We also specialise in government-backed facilities, helping you secure up to £2m toward your purchase.
