Private Schools
Buying a private school?
We arrange the finance. You get the keys.
A private school with a stable pupil roll, a strong academic reputation, and a committed teaching team is a substantial and genuinely fundable acquisition. Fee income from an established parent base creates predictable, termly revenue that specialist lenders can assess with confidence — provided the application presents the school's financial and regulatory position clearly and completely.
What lenders look at
Pupil numbers and roll stability are the foundation of any private school valuation. Lenders will examine current enrolment, the trend over the past three years, and the forward roll — pupils already enrolled for the following academic year. A stable or growing roll with strong forward enrolment demonstrates demand and income predictability. A declining roll raises questions about reputation, local competition, and the sustainability of the fee income that services the debt.
Fee income and its composition are assessed carefully. Lenders will want to understand the full fee structure — tuition fees, boarding income where applicable, wraparound care, extracurricular activities, and any other revenue streams. A school generating income beyond core tuition fees is a more resilient proposition than one entirely dependent on a single fee type.
ISI or Ofsted inspection history is central to the underwriting. Independent schools are inspected by the Independent Schools Inspectorate or Ofsted — the most recent inspection report and its findings will be reviewed by any lender considering funding the acquisition. An Excellent or Good inspection outcome strengthens the application materially. Any areas for improvement identified in the report need to be addressed directly in the application narrative.
The teaching team and leadership structure are scrutinised carefully. A school whose academic reputation and pupil retention depends heavily on the outgoing head teacher or a small number of senior staff carries a transition risk that lenders will assess. A strong senior leadership team with depth beyond the departing principal is a more confident lending proposition.
Premises are a significant factor in private school acquisitions — many operate from substantial freehold properties that provide security for the lending. Where the acquisition includes a freehold site, the property valuation and any outstanding maintenance or improvement requirements will form part of the lender's assessment.
How we help
We are acquisition finance and loans brokers, not lenders. We package your application, present it to the funders with genuine education sector appetite, and manage the process from first conversation through to completion.
We also arrange government-backed facilities for private school acquisitions — helping buyers access up to £2 million toward their purchase where the criteria are met.

How much can you borrow?
Every purchase is different. The amount you can borrow will depend on the private schools, its trading performance, the purchase price, your circumstances and the transaction structure.
For this type of purchase, lenders will focus particularly on pupil numbers, fee income, staffing, safeguarding and premises. We prepare those details clearly and approach funders that understand the sector.

Common questions
Buying a private school — your questions answered
How much deposit do I need to buy a private school?+
Most private school acquisitions are funded with a deposit of around 20% to 30% of the purchase price, though this varies with the strength of the trading figures, whether the deal includes freehold property, and your own experience. Where there is property security or a particularly strong trading history, lenders can sometimes go further.
Can I borrow against goodwill when buying a private school?+
Yes. Specialist acquisition lenders will lend against goodwill where the trading history supports it, which is essential for leasehold deals with no bricks-and-mortar security. The application has to be presented so the underwriter can see the sustainable, transferable earnings behind that goodwill.
How long does it take to arrange finance to buy a private school?+
Indicative terms are usually available within 48 hours of your enquiry. A full offer typically follows within two to four weeks, with completion driven mainly by valuation and the pace of the legal work on both sides.
Is iLendi Capital a lender or broker?+
iLendi Capital is an acquisition finance and loans broker, not a direct lender. We work with buyers across the UK to prepare their funding applications, introduce them to the lenders most likely to approve them, and manage the deal through to completion. We also specialise in government-backed facilities, helping you secure up to £2m toward your purchase.
