Buying a Dental Practice

By Raphael Ramani, Acquisition Finance Specialist · Last reviewed · 8 min read

A patient list, a contract, and chair time that sells itself — if the UDA history is clean.

The list is the business

A dental practice is its patient list: recurring examinations, hygiene plans and treatment pipelines stretching years ahead. The income mix matters — a well-run NHS contract with a growing private side is the most financeable combination there is.

UDAs and clawback

If the practice holds an NHS contract, its entire value rests on delivering the contracted Units of Dental Activity. Lenders will examine three years of delivery history; persistent under-delivery means clawback and a repriced deal. Clean delivery, by contrast, is contracted revenue a bank can lend against with confidence.

Equipment and associates

  • —Age and condition of chairs, imaging and sterilisation equipment
  • —Associate agreements — who actually delivers the treatment, and will they stay
  • —Premises: lease length or freehold, and room to add a surgery

Structuring the finance

Acquisition deposits ranging from 5% to 30% of the purchase price depend on the business, available security and funding structure.

Practice goodwill is typically funded on a term loan of five to seven years, with chairs and scanners asset-financed separately to keep the main facility lean. Freehold surgeries — plenty of practices own their building — support commercial mortgages that transform the monthly figures.

Prime locations command the highest dental practice valuations in the UK, with private and mixed practices in these areas regularly asking above £500,000. Elsewhere, a strong NHS and mixed practice market generates consistent acquisition activity at more accessible price points. Specialist healthcare lenders advance 70 to 80 percent against a well-prepared application.
